THE SISTERHOOD OF SYNAGOGUE EMANU-EL CONSTITUTION |
ARTICLE I: NAME
This organization shall be known as the Sisterhood of Synagogue Emanu-El and shall be affiliated with the Women’s League for Conservative Judaism and the Southern Branch of the Women’s League.
ARTICLE II: PURPOSE
The aims of Sisterhood shall be to:
- Perpetuate the highest ideals and traditions of Conservative Judaism;
- Promote in every way possible the welfare of the Congregation, its religious schools and kitchen;
- Stress ethical and religious practices in everyday living;
- Further Jewish education in the family;
- Create and foster Jewish sentiment in the home, stimulating the observance of home ceremonial practices and the dietary laws;
- Stress the observance of the Sabbath and Festivals and attendance at Synagogue services;
- Foster a sense of communal responsibility on the part of its members;
- Contribute to the support and encouragement of Jewish and Hebrew education;
- Work for Torah Fund, and other Jewish Theological Seminary projects;
- Participate in activities to strengthen relationships with Israel; and
- Engage in such civic and philanthropic activities as may be approved by the Board of Directors and supported by the Women’s League.
ARTICLE III: MEMBERSHIP

Any Jewish woman interested in the above purposes may become a member upon payment of annual dues. Life membership is no longer available. |
| Section 2: |
Honorary membership, (not requiring the payment of dues) shall be given to the female professional staff of the Synagogue and the wives of the professional staff (Rabbi, Cantor, Executive Director) of the congregation. |
| Section 3: |
Current Life Members are asked to voluntarily pay the per capita dues to Women’s League for Conservative Judaism. |
ARTICLE IV: DUES/FISCAL YEAR
| Section 1: |
The fiscal year shall be from July 1 to June 30. |
| Section 2: |
The annual dues, including the per capita dues to Women’s League for Conservative Judaism, shall be determined by the Board of Directors and approved by the membership. If the per capita dues are raised, it is recommended, not necessitating membership approval, that there should be a similar raise in annual dues. |
| Section 3: |
The per capita dues shall be regarded at all times as the property of Women’s League and shall be forwarded to the Women’s League in full. |
| Section 4: |
Any member in arrears for one year’s dues shall be subject to suspension if, after written notice and personal contact from the Financial Secretary, her dues remain unpaid for thirty days. |
ARTICLE V: OFFICERS AND BOARD OF DIRECTORS
| Section 1: |
Officers: The officers shall consist of a President, three Vice-presidents, Recording, Corresponding, and Financial Secretaries, and Treasurer. The office of President shall be held by a voting member of Synagogue Emanu-El.
- Terms: The President shall be elected for a term of one year but shall not hold the same office for more than two consecutive terms.
- Other officers shall be elected for a term of two years, but shall not hold the same office for more than two consecutive terms, with the exception of the Treasurer. This shall not be construed to effect Vice-Presidents who may serve in different areas of responsibility.

| Section 2: |
Executive Committee: There shall be an Executive Committee, composed of the President, who is its chair, Vice-presidents, Secretaries and Treasurer. The Executive Committee shall have the power to authorize emergency expenditures not to exceed $500.00 and shall report such action to the Board of Directors. If more than this sum is involved in an emergency, a special Board meeting shall be called or the Board will otherwise be polled. |
| Section 3: |
Board of Directors: The management of the Sisterhood shall be vested in a Board of Directors which shall have the power to act in all matters pertaining to the work and welfare of the organization between regular membership meetings.
- Members:
- The Board shall consist of the Executive Committee, chairs and vice-chairs of standing committees, up to two appointed Advisors, and the appointed Parliamentarian under the chairmanship of the President.
- A past president shall be an ex-officio member of the board for five years, with voice and vote for the immediate two years following service as president.
- The Rabbi’s wife and Cantor’s wife shall be invited to be members of the Board with full power of voice and vote, as long as they hold such positions.
- Members of the Women’s League Board and Branch Board of Directors who are members of Sisterhood of Synagogue Emanu-El shall be members of the board with voice and vote as long as they hold such positions.
- The President may appoint, with approval of the Executive Committee additional Board members, not to exceed three Appointees to serve to the end of the president’s term.
- Absences: If a members of the Board of Directors shall be absent for three consecutive regular Board meetings without a proper and sufficient excuse sent to the Secretary or President, her office shall be declared vacant and a successor appointed by the President, provided, however, that written notice and personal contact be provided to the said member by the Corresponding Secretary after the second absence.

ARTICLE VI: DUTIES OF OFFICERS AND BOARD OF DIRECTORS
| Section 1: |
President: The office of the President may be shared to ensure continuity of purpose and programs and to provide a mentor. The President shall:
- Preside at all meetings, conduct the business prescribed by the Constitution, preserve order, and see that the Officers fulfill their duties properly;
- Designate a Vice President to serve and preside in her absence;
- Appoint a Parliamentarian, up to two Advisors, and additional Board members, (consistent with Article V, Section 3, A.5), committees and delegates;
- Supervise elections;
- Act as an Ex-Officio member of all Committees, except the Nominating Committee;
- Represent the organization on the Board of the Synagogue; and
- Serve as an official delegate to the Women’s League Convention, Branch meetings and Conferences all expenses to be paid by the Sisterhood for two Southern Branch Conferences and one Women’s League Convention In the event of the inability of the President to attend the Biennial Conference of Branch meetings, she shall appoint an alternate, preferably a Vice President, to attend in her stead. The Sisterhood shall pay such alternate’s expenses.

| Section 2: |
Vice-presidents: Vice Presidents shall:
- Assist the President in the management of the Sisterhood and preside in her absence as designated by her;
- Be responsible for the administration of the area of Sisterhood activity assigned to her. Each of the Vice-Presidents shall head one of the following committee groups: Ways and Means, Education, and Administration; and
- Perform such other duties as may be required.

Recording Secretary: The recording secretary shall:
- Keep true and correct minutes of all proceedings of all regular, Board, Executive Committee and special meetings;
- Collect all documents and reports and have them filed;
- Submit copy of minutes to the President in advance of the next meeting; and d. Keep the Sisterhood Policy Book, sending a duplicate to the Sisterhood Parliamentarian.

| Section 4: |
Financial Secretary: The Financial Secretary shall:
- Send out membership due bills;
- Keep true and correct records of all monies received from membership dues;
- Collect all dues and turn them over to the Treasurer, who issues a receipt for the money and render a monthly report to the Board of Directors;
- Notify members of delinquency as stated in Article IV;
- Correct and update membership printouts from Women’s League; and
- Serve on the Budget Committee.

Corresponding Secretary: The Corresponding Secretary shall:
Send the correspondence required of secretaries, including notices and letters. |
| Section 6: |
Treasurer: The Treasurer shall:
- Sign all checks;
- Receive from the Financial Secretary all monies collected from the membership dues and issue receipts for same;
- Pay all validated bills and keep a strict account of all receipts and disbursements;
- Render monthly reports of the finances of the Sisterhood to the Board of Directors and membership, and submit books for audit before July 31;
- Remit the Women’s League per capita dues upon collection during the fiscal year; and
- Serve on the Budget Committee.

| Section 7: |
All officers are to deliver to their successor all Sisterhood property. |
| Section 8: |
A qualified professional auditor shall audit the books of the Sisterhood annually in the month of July. |
| Section 9: |
Board of Directors: Members of the Board of Directors should:
- Attend meetings regularly and act judiciously;
- Notify President or Recording Secretary if unable to attend meetings;
- Implement the Sisterhood Constitution and develop Policies;
- Serve on designated committees as chairman or co-chairman;
- Support Sisterhood fund-raising and cultural projects;
- Cooperative with the Membership Committee to retain members;
- Participate in the Torah Fund Campaign;
- Attend Leadership Training courses when offered in Branch;
- Attend Branch meetings and events;
- Attend synagogue services;
- Represent the standard of the Synagogue woman in the community; and
- Deliver to successor all Sisterhood property.

ARTICLE VII: COMMITTEES
| Section 1: |
The President, at the beginning of her term of office, shall appoint standing committees and such other committees as she may, from time to time, find practicable or necessary. The names of all standing committees shall be recorded in the Sisterhood policies. |
| Section 2: |
Committee chairs shall be responsible for the keeping of and passing on a logbook of her years of service. |
| Section 3: |
Committee chairs and committee members shall be responsible to collect all monies owed them by presenting a bill to the Treasurer during the Sisterhood fiscal year in which it was spent. No money can be paid after the books have closed for the year, unless it has been applied for before the closing date. |
ARTICLE VIII: DELEGATES TO CONVENTION/CONFERENCES

A line item in the Sisterhood budget shall address convention/conference expenses for delegates to be shared by those attending. Sisterhood shall pay registration fees. (See Article VI, Section 1g, in reference to the President’s expenses). |
| Section 2: |
The incoming President’s expenses shall be paid to attend the Southern Branch Conference. |
ARTICLE IX: MEETINGS
| Section 1: |
A minimum of four meetings/programs shall be held on a date designated by the Executive Committee. Exceptions may be made upon the recommendation of the President with the consent of the Board, when deemed necessary. |
| Section 2: |
The Board of Directors shall meet each month at such place as the President determines from August through June. A Board meeting shall be held of the newly elected officers and Board members during the summer months. Changes may be made at the discretion of the President with the consent of the board. |
| Section 3: |
Special meetings may be called by the President if she deems it necessary, or if five members request in writing; said request to state the nature of the call for the special meeting. At special meetings only such business may be transacted as has been mentioned in the call for same. |
| Section 4: |
One-fifth (1/5) of the members of the Board of Directors shall constitute a quorum at Board meetings.
One-tenth (1/10) of the membership shall constitute a quorum at general meetings. |
ARTICLE X: NOMINATIONS AND ELECTIONS
| Section 1: |
Nominating Committee
- At the beginning of her term, the President shall appoint a Nominating Committee consisting of its Chairman and four members: The Committee shall always consist of an uneven number, the majority of whom shall come from the Board of Directors.
- No Alternates shall be appointed.
- The Nominating Committee proposes the slate of Officers to the membership in March.
- The Nominating Committee functions throughout the administration and submits names to fill vacancies as required.

| Section 2: |
Submission of the slate
The nominating committee shall submit its slate in March, first to the Board of Directors, and then, in writing, to the general membership approximately 30 days before election. Election of officers shall be at the first meeting after the slate has been submitted. |
| Section 3: |
Nominations through membership
Nominations may also be made in writing by five or more members in good standing to the chairman of the Nominating Committee, not later than fifteen days after the report of the Nominating Committee is circulated to the general membership, provided written consent of the person nominated is included. |
| Section 4: |
Notice of Election
- The report of the Nominating Committee plus the nominations by petition shall be sent to the membership at least seven days before elections if there have been additional nominations through membership.
- If there is more than one candidate, names are listed alphabetically.
- The President conducts the meeting.

Voting
In the absence of additional nominations, the report of the Nominating Committee shall become the electoral ballot. In the event of more than one candidate for any office, voting shall be by closed ballot. The President announces the results of the vote. |
| Section 6: |
Officers assume their positions at the Installation meeting in May with the exception of the treasurer, who will take the books July 1st. |
ARTICLE XI: AMENDMENTS
| Section 1: |
Amendments to this Constitution shall be submitted in writing to a revisions committee, chaired by the Parliamentarian, who shall draw up such amendments for presentation to the Board of Directors. |
| Section 2: |
All amendments to this Constitution must be provided to the membership thirty days before they are to be voted on. |
| Section 3: |
All amendments having been duly recommended by the board shall be adopted by a two-thirds vote of the members present and voting at a regular meeting. |
| Section 4: |
A revisions committee shall review these by-laws every four years. |
